Before filing any formal legal proceeding, you agree to attempt to resolve the dispute informally by contacting us at legal@compoundtalk.com. We will attempt to resolve the dispute within 30 days.
If informal resolution is unsuccessful, any dispute arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Delaware, unless otherwise agreed by the parties. The arbitrator's decision shall be final and binding.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive the right to participate in class actions or class-wide arbitration.
We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice through the Services (e.g., a banner notification) and/or via email to registered users at least 14 days before the changes take effect. Your continued use of the Services after the effective date of revised Terms constitutes acceptance. If you disagree with the revised Terms, your sole remedy is to discontinue use of the Services.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.
We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with the Privacy Policy, Cookie Policy, DMCA Policy, and Medical Disclaimer, constitute the entire agreement between you and CompoundTalk regarding the Services and supersede all prior agreements and understandings.
